AGC of Minnesota’s Contracts Committee provides short form construction contracts for owners, contractors, subcontractors, and material suppliers. The forms are flexible for a variety of projects or needs, and have been valued by the industry for more than a half century.
Our Contracts Committee is composed of general contractors and subcontractors (including contractors who are both generals and subcontractors), and in-house and outside construction law attorneys. The Committee meets each year to review industry practices, changes in the law, areas where contracts may be misconstrued or are not clear, other changes in conditions or needs, and the value of no changes to maintain continuity in the contracts. The draft contracts then are circulated to a second, larger group for more feedback, and returned to the Committee for final review. Finalized form agreements are published here and licensed for use annually from March through February. Click the link below for the license agreement .
The Contract Committee’s goal is to provide form contracts that are fair to all parties, representative of good industry practices, reliable, easy to work with, and understandable. They are free to AGC-MN members and available to nonmembers for a license fee of $750. (Nonmembers can request a license below and, once issued, download the contracts.) We also provide a commercial license for attorneys to use with (and distribute to) their clients.

These contracts are forms that need to be tweaked or amended for a particular situation, and therefore do not constitute legal advice or review. As with any form contract, users should consult with their attorney. Any changes to the form can be made on an addendum.
How to use
This contract is set up as a form. Assuming it works correctly, all you need to do is enter the information that is relevant for each project/job, print, and send to the other party. Entering the information should be easy too. Open the contract and click on the field or press tab which should advance you to the next field.
If you need to tweak any term in the form, state the change in the Addendum and initial the Addendum. There is a high value in respecting the form so that one can trust and rely that the terms of the form are always the same unless clearly noted otherwise.
You can fill out the form in part and save it, and come back later. You can also duplicate a form and re-use the contract. For instance, writing in your company information and saving the form will mean that you don’t have to enter this information each time you use the form.
Some fields ask you to enter text and some have drop down options to choose. For instance, in the Standard Subcontracting Agreement under the “Labor” paragraph, there are options if the job requires union signatories, is a PLA, is prevailing wage, or is nonunion. Here’s some tips:
- When you have completed the contract you can print to paper, and download as a pdf to share.
- Save a draft. You can enter your information, save draft, and then come back at a later time to finish completing it.
- Duplicate a contract. If you want to save time filling out information you can duplicate an already completed contract.
- To access all of the contracts that you have made go to "My Contracts"

Duplicating a Contract
Directions to duplicate a contract
Use these directions if you want to have an existing contract duplicated and saved as a new contract.
Step 1. Go to My Saved Contracts
Step 2. Toggle open ( + ) the contract group (OCA, CSA, etc.) to find the contract you would like to duplicate.
Step 3. In the contract group find the existing contract that you want to duplicate, and under the column "Entry Status" select the link "Duplicate".
Step 4. The contract form will open as a new contract with the information that was input in the original contract.
Step 5. Change information in the duplicated contract including:
- **Dates
- **Check the checkboxes that apply
- Names
- Details
- Terms
**These items do not copy from the original contract and will always need to updated on the duplicate contract.
Step 6. Submit the finished contract.
Step 7. Download the contract.
You will find the new contract you duplicated in "My Saved Contracts" where you can edit it if needed.
